By accessing or using www.zdem.shop (the "Site") and engaging the services of ZDE MEDIA LLC ("we," "our," "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not access or use our Site or services. We reserve the right to modify or update these Terms at any time, with changes effective upon posting to the Site.
"Services" refers to all consulting, advisory, design, development, and implementation services provided. "Client" or "you" means the individual or entity using our Site or Services. "Confidential Information" means non-public information disclosed by one party to the other. "Intellectual Property" means patents, copyrights, trademarks, trade secrets. "Deliverables" means work products produced. "Statement of Work" or "SOW" defines scope, deliverables, timeline, and fees.
We provide professional technology consulting services including computer systems design, IT infrastructure consulting, cloud integration, cybersecurity, data analytics, and digital transformation. Scope and fees defined in a separate SOW.
Our IP remains our exclusive property. Upon full payment, we grant a non-exclusive, perpetual license to use Deliverables. You retain rights to Client Materials.
Fees per SOW. Invoices due within 30 days. Late payments may incur 1.5% monthly charge. You are responsible for applicable taxes.
Both parties maintain confidentiality of all Confidential Information. Obligations survive termination for five years.
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY SHALL BE LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES. (B) OUR TOTAL LIABILITY SHALL NOT EXCEED FEES PAID IN THE 12 MONTHS PRECEDING THE CLAIM.
Services provided "AS IS" without any warranties, express or implied.
You agree to indemnify us against claims from your use of our Services in violation of these Terms.
Either party may terminate upon 30 days' written notice. Immediate termination for material breach after 30 days' cure period.
Governed by Ohio law. Disputes resolved through negotiation, mediation, and binding arbitration in Columbus, Ohio.
